Terms and Conditions
1. Definitions
"Epoptia", "we", "us": EPOPTIA P.C., a Greek private company registered with the General Commercial Registry (G.E.MI.) under no. 147698736000, with registered offices at 312 Andrea Syngrou Avenue, 176 73 Athens, Greece.
"Epifor" cloud manufacturing execution platform or the "Service" (formerly Epoptia MES and Epoptia Cloud MES), including its web application, mobile applications and related documentation.
"Customer", "you": The business entity that registers for or uses the Service.
"Users": The individuals authorized by the Customer to use the Service under the Customer's account.
"Partner": A certified Epifor reseller or consultant authorized by us to implement or support the Service.
"Order": The subscription plan, number of workstations and any services agreed between you and us or a Partner.
2. Scope and acceptance
These Terms & Conditions ("Terms") govern the use of the epifor.com website and the Service. By creating an account, placing an Order, or using the Service, you accept these Terms.
The Service is offered exclusively to businesses and professionals. By using it, you confirm that you act in the course of a business and not as a consumer.
If we have signed a separate written agreement with you, that agreement prevails over these Terms. Otherwise, in case of conflict, the order of precedence is: (1) the Epifor MES License, (2) these Terms, (3) the Support Policy, (4) other information published on the website.

3. Service and implementation
Epifor MES is provided as a cloud subscription, per workstation and terminal. Implementation and configuration may be carried out by you or by a Partner; you may request a change of implementation Partner at any time by contacting us at info@epifor.com.
We continuously develop the Service. We may improve, extend, or modify functionality, provided the core functionality you have subscribed to is not materially reduced during a paid period.
4. Accounts and security
You are responsible for the accuracy of your account information, for keeping access credentials confidential and for all activity under your account and your Users' accounts. You will ensure that your Users are trained for the modules they operate and comply with these Terms. Notify us without undue delay at support@epifor.com if you suspect unauthorized use of your account.
5. Acceptable use
You may not: (a) copy, transfer, sublicense, or make the Service or any on-premises installation available to any third party except your own Users; (b) attempt to access or derive the source code of the Service, except to the extent such restriction is prohibited by mandatory law (including Directive 2009/24/EC on the legal protection of computer programs); (c) use the Service for unlawful purposes or for sending unsolicited communications; (d) interfere with the security or integrity of the Service or circumvent usage limits; or (e) resell or present the Service as your own product.
6. Subscriptions, fees and payment
- Subscriptions are charged per workstation, on an annual basis, payable in advance.
- Applicable fees are those agreed in your Order. All fees are exclusive of VAT and similar taxes, which are charged where applicable.
- You may upgrade or downgrade your plan; changes apply from the next billing period unless agreed otherwise.
- Fee changes apply only to future billing periods and are announced at least 30 days in advance.
- We will remind you of an upcoming renewal approximately two weeks before expiry.
7. Renewals, cancellation, refunds and credits
You may cancel your subscription at any time; cancellation takes effect at the end of the paid period. Amounts corresponding to unused time are credited as non-cash vouchers applicable to future invoices; cash refunds are not provided. After cancellation, you retain limited read-only account access for 24 months, without the ability to create new orders or access workstations; your data-export rights under Section 10 are not affected.
8. Support, maintenance and availability
Support channels, hours, response targets, the paid SLA plans (Bronze, Silver, Gold) and billable services such as custom development, weekend work and on-site visits, are described in the Support Policy, which forms part of these Terms.
We make commercially reasonable efforts to keep the Service available, targeting the uptime stated in the Support Policy and announce planned maintenance in advance where feasible. We do not warrant uninterrupted operation.
9. Intellectual property
The Service, its software, design, documentation and all related intellectual property rights belong to Epoptia P.C. or its licensors. You receive, for the duration of your subscription, a non-exclusive, non-transferable right to use the Service for your internal business operations, as further specified in the Epifor MES License.
Your data remains yours. You retain all rights to the data, files and drawings you or your Users enter into the Service. You grant us only the rights needed to operate, secure and support the Service and to comply with law.
If you provide feedback or improvement suggestions, we may use them to improve the Service without obligation or attribution.
10. Customer data, data protection and backups
For personal data processed inside your Epifor account (such as production records and operator entries), you are the data controller and Epoptia P.C. acts as processor under a data processing agreement in accordance with Article 28 GDPR. For personal data we collect through the website and our marketing, we are the controller (see the Privacy Policy).
During an active cloud subscription we maintain regular backups of your account data. Upon termination or expiry, you may export your data for 90 days, after which it is deleted or anonymized in accordance with the data processing agreement and applicable law. In on-premises installations, backups and infrastructure are your responsibility.
11. Confidentiality
Each party will keep confidential the non-public information it receives from the other in connection with the Service (including your production data and our pricing and product information) and use it only for the purposes of the business relationship. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law, and survives termination for as long as the information remains confidential.
12. Warranties
Except as expressly stated in these Terms and the Support Policy, the Service is provided "as is" and we disclaim all other warranties, express or implied, to the extent permitted by law. We do not warrant that the Service will be error-free or uninterrupted, or that it will meet requirements not agreed in writing. Nothing in these Terms excludes warranties or rights that cannot be excluded under mandatory Greek law.
13. Liability
To the extent permitted by law: (a) neither party is liable for indirect or consequential damages, loss of profit, or business interruption; (b) you are responsible for your own internet connectivity and infrastructure, for damage caused by untrained or unauthorized use on your side, and for data loss caused by improper handling by your Users; and (c) our total aggregate liability under these Terms is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits either party's liability for willful misconduct or gross negligence, or any other liability that cannot be excluded under Greek law (including Civil Code article 332).
14. Suspension and termination
We may suspend access, giving prior written notice where reasonably possible, in case of material breach of these Terms or non-payment, and will lift the suspension once the issue is remedied. Either party may terminate as described in Section 7. We may terminate for cause with immediate effect if a material breach is not remedied within 15 days of written notice. Upon termination, access ends and data is handled as described in Section 10. Sections 9, 11, 12, 13, 17, and 18 survive termination.
15. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, labor disputes, power or telecommunications failures and acts of authorities, provided the affected party notifies the other and resumes performance as soon as reasonably possible.
16. Changes to these Terms
We may amend these Terms. For material changes we will give at least 30 days' notice by email or prominent notice on the website before the changes take effect. If a change adversely affects you, you may terminate before its effective date; continued use after the effective date constitutes acceptance. The current version is always available at epifor.com/terms-conditions.
17. Notices and communications
Formal notices to us are sent to info@epifor.com or to our registered address; notices to you are sent to your account email. We may send operational and service notices (renewals, maintenance, security, changes to these Terms) as part of the Service; marketing communications are governed by the Privacy Policy and can be opted out of at any time.
18. Governing law and disputes
These Terms are governed by Greek law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The parties will first attempt in good faith to resolve any dispute amicably; failing that, the courts of Athens, Greece have exclusive jurisdiction.
19. General provisions
If any provision of these Terms is found invalid, the remainder remains in effect and the invalid provision is replaced by a valid one that comes closest to its intent. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them within our corporate group or in the context of a merger or business transfer. These Terms are drafted in English; if a Greek version is published, the English version prevails to the extent mandatory law allows.
